1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Clay Verse Media LLC ("Clay Verse Media," "we," "us," or "our") governing your access to and use of our website at clayversemedia.com and all services provided by Clay Verse Media.
By engaging our services, accessing our website, or signing a service agreement, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access our website or use our services.
2. Services Provided
Clay Verse Media provides business and marketing coaching, consulting, and visual storytelling services, including but not limited to:
· StoryBrand-certified marketing and messaging consulting
· Business coaching (one-on-one, group, and mastermind programs)
· Fractional CMO services
· Video production and photography services
· Drone photography and videography
· Social media content packages
· Branding and messaging workshops
· Real estate visual storytelling services
Specific deliverables, timelines, and pricing will be outlined in individual service agreements or proposals.
3. Client Responsibilities
To ensure successful project completion, clients agree to:
· Provide accurate and complete information necessary for service delivery
· Respond to requests for information, feedback, or approvals in a timely manner
· Attend scheduled coaching sessions, workshops, or meetings as agreed
· Provide reasonable access to locations for photography and videography services
· Ensure all necessary permissions, releases, and rights are obtained for any third-party materials provided
· Implement agreed-upon strategies and recommendations in good faith
4. Payment Terms
Pricing: All prices are stated in US Dollars and are subject to change with notice. Pricing for specific services will be outlined in individual proposals or service agreements.
Payment Methods: We accept payment via Stripe and Keap Payment processing systems, as well as other methods as agreed upon in writing.
Payment Schedule:
· One-time services: Payment in full or 50% deposit required before work begins, with balance due upon completion
· Ongoing services: Payment due monthly in advance unless otherwise specified
· Mastermind programs: Payment plans available as specified in program details
Late Payments: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month (18% annually) or the maximum allowed by law. Services may be suspended until payment is received.
5. Refund and Cancellation Policy
Coaching and Consulting Services: Deposits are non-refundable. Clients may cancel ongoing services with 30 days written notice. No refunds will be provided for services already rendered or for the current billing period.
Mastermind Programs: Once enrolled, mastermind program fees are non-refundable. Clients who must withdraw may transfer their enrollment to another qualified participant with our approval.
Video and Photography Services: Cancellations made less than 48 hours before a scheduled shoot will result in forfeiture of the deposit. Rescheduling is permitted with at least 48 hours notice, subject to availability.
Workshops: Cancellations made more than 30 days before the workshop date will receive a full refund minus a $250 administrative fee. Cancellations made less than 30 days before the workshop are non-refundable but may be transferred to another participant.
6. Intellectual Property Rights
Client Materials: Clients retain all rights to materials they provide to us. By providing materials, clients grant us a license to use them solely for the purpose of delivering the contracted services.
Work Product:
· Coaching and Consulting: Upon full payment, clients receive ownership of custom deliverables created specifically for them (such as BrandScripts, messaging frameworks, and strategic plans). Clay Verse Media retains the right to use methodologies, frameworks, and general approaches with other clients.
· Video and Photography: Upon full payment, clients receive a license to use the final edited photos and videos for their business purposes. Clay Verse Media retains copyright and may use the work in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.
· Workshops and Group Programs: All workshop materials, workbooks, presentations, and course content remain the intellectual property of Clay Verse Media. Participants receive a personal, non-transferable license to use materials for their own business only.
Portfolio Use: Unless otherwise agreed in writing, Clay Verse Media reserves the right to display completed work in our portfolio and marketing materials, including our website and social media channels.
7. Confidentiality
We respect the confidential nature of information shared during coaching and consulting engagements. We will not disclose confidential client information to third parties without permission, except as required by law or to fulfill our service obligations (such as working with partner vendors).
Clients agree to keep proprietary methodologies, frameworks, and materials provided by Clay Verse Media confidential and not to share them with third parties or use them outside the scope of our engagement.
8. Results and Guarantees
While we are committed to delivering high-quality services, we cannot guarantee specific business results, revenue increases, or outcomes from coaching, consulting, or marketing services. Success depends on many factors, including client implementation, market conditions, and business-specific variables beyond our control.
We guarantee that all services will be performed with professional care and expertise consistent with industry standards.
9. Limitation of Liability
To the fullest extent permitted by law, Clay Verse Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
· Your use or inability to use our services
· Any conduct or content of any third party
· Unauthorized access, use, or alteration of your content
· Business results or lack thereof from implementing our recommendations
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
10. Indemnification
Client agrees to indemnify, defend, and hold harmless Clay Verse Media, its owner, and any partners or contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
· Client's use of our services
· Client's violation of these Terms
· Client's violation of any rights of another party
· Materials or information provided by Client
11. Term and Termination
These Terms remain in effect while you use our services. Either party may terminate ongoing service agreements with 30 days written notice, subject to the refund and cancellation policies outlined above.
We reserve the right to suspend or terminate services immediately if:
· Client fails to pay amounts due
· Client breaches these Terms
· Client engages in abusive, threatening, or inappropriate behavior
· Continuing the relationship would violate applicable law
Upon termination, Client remains responsible for all fees incurred prior to termination.
12. Force Majeure
Clay Verse Media shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated to active clients via email.
14. Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
Informal Resolution: In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation.
Mediation: If informal resolution is unsuccessful, both parties agree to participate in mediation before pursuing litigation.
Jurisdiction: Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Jackson County, Georgia.
15. Entire Agreement
These Terms, together with any service agreements, proposals, or statements of work, constitute the entire agreement between Client and Clay Verse Media regarding the services and supersede all prior agreements, understandings, and communications, whether written or oral.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
17. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
